These Airtasker Pro Pass Terms & Conditions (Pro Pass Terms) are between you and Airtasker USA Inc. (Airtasker). These Pro Pass Terms govern the purchase, renewal and use of an Airtasker Pro Pass (as defined below). By purchasing, renewing, or using an Airtasker Pro Pass, you agree to these Pro Pass Terms, and agree that any use of the Platform is also subject to Airtasker’s Website Terms and Conditions available at www.airtasker.com/us/terms/ (Website Terms) (collectively, the Terms).
1. About the Airtasker Pro Pass Membership
1.1 An Airtasker Pro Pass is a paid membership program that entitles the subscribed account holder (Pro Pass Member) to earn income by completing tasks on the Airtasker US platform www.airtasker.com/us (Platform) free of “tasker service fees” (as defined in the Website Terms) (Tasker Service Fees) up to the Fee-Free Threshold (as defined below) in each Airtasker Pro Pass Period (as defined below) (Airtasker Pro Pass).
1.2 During an active Airtasker Pro Pass Period, Pro Pass Members pay no Tasker Service Fees on the first US$14,500 of gross tasker earnings earned through the Platform (Fee-Free Threshold) (the Membership Benefit).
1.3 Once the Fee-Free Threshold is reached, the Tasker Service Fees applicable to a Gold tier tasker at such time will apply to ongoing tasker earnings for the remainder of that Airtasker Pro Pass Period.
1.4 Any other applicable fees and charges that are incurred in ordinary use of the Platform (such as “cancellation fees” (as defined in the Website Terms)) will continue to apply.
2. Airtasker Pro Pass fees and term
2.1 The annual fee for an Airtasker Pro Pass is US$1,290 (Airtasker Pro Pass Fee) and is payable in full at the time of purchase.
2.2 The Airtasker Pro Pass Fee is exclusive of any applicable sales, use or similar taxes. Those taxes are calculated by reference to your billing address, if applicable, added at checkout and charged in addition to the Airtasker Pro Pass Fee. The total amount payable, including tax, is displayed to you before you confirm your purchase, and may change on renewal if tax rates or rules change.
2.3 An Airtasker Pro Pass is valid for 12 months from the date of payment of the Airtasker Pro Pass Fee (Airtasker Pro Pass Period).
2.4 At the expiry of the applicable Airtasker Pro Pass Period, the Airtasker Pro Pass will automatically renew for a successive 12-month period (being a new Airtasker Pro Pass Period) unless the Airtasker Pro Pass Membership is terminated prior to the renewal date, in accordance with these Pro Pass Terms.
2.5 By purchasing an Airtasker Pro Pass, you affirmatively consent to your Airtasker Pro Pass renewing automatically, and you authorise Airtasker to automatically charge your nominated payment method (or another card on file) for the then current annual Airtasker Pro Pass Fee, plus applicable taxes, at the start of each renewal period, until you cancel.
2.6 Before the end of each Airtasker Pro Pass Period, and within the period required by applicable law, Airtasker will send a renewal reminder to the email address on your account. The reminder will identify the Airtasker Pro Pass, the amount and frequency of the charge, the date by which you must cancel to avoid the next charge, and how to cancel.
2.7 You are responsible for ensuring your payment details remain accurate and up to date. A failed or declined payment does not relieve you of your obligation to pay.
2.8 From time to time, we may offer different membership programs, and the fees and terms for those different memberships may vary. You will find details about the membership model you are subscribed to, the applicable membership fee and the next due date in your account.
3. Payments
3.1 An Airtasker Pro Pass can be purchased by any individual aged 18 years and over with an active Airtasker US user account.
3.2 To purchase an Airtasker Pro Pass, you must visit the Airtasker Pro Pass Landing Page and follow the steps to purchase your Airtasker Pro Pass.
3.3 Airtasker Pro Pass cannot be purchased using gift cards, Airtasker credits, vouchers, or coupon codes.
3.4 Airtasker Pro Pass can only be purchased by the individual Airtasker account holder who will be the Pro Pass Member. Airtasker Pro Pass can not be purchased for any other individual or account.
3.5 Airtasker Pro Pass cannot be purchased through the Airtasker mobile application and must be purchased via the Airtasker website.
4. Cancellations and refunds
4.1 You may cancel your Airtasker Pro Pass at any time, either by following the cancel auto-renewal link in your Airtasker Pro Pass purchase confirmation email and completing the steps, or by contacting Airtasker's customer service team at propass@airtasker.com. To avoid being charged for the next Airtasker Pro Pass Period, your cancellation must be completed at least 7 days before your renewal date. We will confirm your cancellation by email within one business day..
4.2 Airtasker Pro Pass are not refundable (except a pro rata refund may be extended in the event the Pro Pass program is discontinued by Airtasker during your relevant Airtasker Pro Pass Period).
4.3 Cancelling your Airtasker Pro Pass means that your Airtasker Pro Pass will not automatically renew at the end of the Airtasker Pro Pass Period. Cancelling an Airtasker Pro Pass does not entitle you to any credit, refund or exchange.
4.4 Subject to clause 4.2 and to the maximum extent permitted by law, Airtasker Pro Pass Fees are non-refundable, including in circumstances where the Airtasker Pro Pass is partially used, completely unused and/or the Pro Pass Member account has been restricted or deactivated for misuse or deleted on request of the Pro Pass Member.
5. Fair Use
5.1 Airtasker may monitor for, and/or impose restrictions to prevent, use outside of fair use, which may include, but are not limited to, the following:
5.1.1 Excessive, repetitive, or abusive booking behaviour.
5.1.2 Sharing access to or use of an Airtasker Pro Pass Member account between other users or businesses.
5.1.3 Behaviour that Airtasker determines to be fraudulent, exploitative or otherwise outside of ordinary Tasker use.
6. Account Use and Non-Transferability
6.1 Airtasker Pro Pass are non-transferable and may only be used by the Airtasker Pro Pass Member.
6.2 You must not share your account credentials or allow any third party to access or use your Airtasker Pro Pass.
6.3 Any attempt to transfer, share, or misuse an Airtasker Pro Pass may result in immediate restriction, suspension, or termination of the account without any refund.
7. Suspension and Termination
7.1 If Airtasker reasonably determines that you have breached these Pro Pass Terms or Airtasker’s Website Terms, Airtasker may immediately restrict, suspend, or terminate your Airtasker Pro Pass or Airtasker account.
7.2 In the event that your Airtasker account is reasonably restricted, suspended, or terminated for breaching Airtasker’s Website Terms or Community Guidelines, you will not be entitled to any refund, credit, or compensation.
7.3 Airtasker reserves the right to accept or refuse any attempts to purchase or use an Airtasker Pro Pass, to the extent permitted by applicable law.
8. Changes to the Pro Pass Terms and Benefits
8.1 Airtasker may, in its reasonable discretion, change these Pro Pass Terms, the Membership Benefits, discontinue the Airtasker Pro Pass program or modify its pricing.
8.2 Any changes implemented by Airtasker will not affect your right to cancel your Airtasker Pro Pass autorenewal at any time. Where we make material changes to these Pro Pass Terms or the Membership Benefits, we will give you clear and conspicuous written notice before the change takes effect, within the period required by applicable law, together with information about how to cancel.
8.3 If Airtasker increases the Airtasker Pro Pass Fee and you have not affirmatively consented to the increase, you may cancel your Airtasker Pro Pass within 14 days after the increased fee is first charged and receive a pro rata refund of the amount paid for the remainder of that Airtasker Pro Pass Period.
8.4 If any change to these Pro Pass Terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions.
8.5 Continued use of an Airtasker Pro Pass after you have received notice under clause 8.2 and the changes take effect constitutes acceptance of the updated Pro Pass Terms.
9. Disclaimers and Liability
9.1 Holding an Airtasker Pro Pass does not guarantee that you will be assigned to any task/s, nor does it impact the Airtasker Services (as defined in the Website Terms) provided to you. It merely provides the Pro Pass Member with the Membership Benefits. Airtasker makes no representation, promise or guarantee about the volume or value of work available to you, or the amount you will earn, through the Platform.
9.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE AIRTASKER PRO PASS AND THE MEMBERSHIP BENEFITS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, AND AIRTASKER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, IN RELATION TO THE AIRTASKER PRO PASS. AIRTASKER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUALITY, ACCURACY AND QUIET ENJOYMENT.
9.3 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AIRTASKER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF EARNINGS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE AIRTASKER PRO PASS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT AIRTASKER HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.
9.4 TO THE FULLEST EXTENT PERMITTED BY LAW, AIRTASKER’S TOTAL LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THE AIRTASKER PRO PASS IS LIMITED TO THE GREATER OF (A) THE TOTAL AIRTASKER PRO PASS FEES PAID BY YOU IN THE TWELVE MONTH PERIOD PRIOR TO THE INCIDENT GIVING RISE TO THE LIABILITY, AND (B) US$40.00.
9.5 Nothing in these Pro Pass Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot be excluded or limited under applicable law.
10. Privacy
10.1 Personal information collected in connection with your Airtasker Pro Pass is handled in accordance with Airtasker’s Privacy Policy.
11. Dispute resolution
11.1 Informal resolution: Before raising a formal claim, please contact us at propass@airtasker.com and give us 30 days to try to resolve the issue informally.
11.2 Binding arbitration: If we cannot resolve it informally, any dispute arising out of or relating to these Pro Pass Terms will be settled by binding individual arbitration under JAMS rules, conducted in the state where you reside.
11.3 Small claims exception: Either party may bring a qualifying claim in small claims court in the county or district where you reside, instead of arbitration.
11.4 CLASS ACTION WAIVER: YOU AGREE TO RESOLVE DISPUTES WITH AIRTASKER INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN, OR BRING, A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST AIRTASKER. A COURT MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS WITHOUT THE CONSENT OF ALL PARTIES.
11.5 State law rights preserved: Nothing in this section waives any non-waivable rights you have under your state’s consumer protection laws.
12. General
12.1 Airtasker Pro Pass cannot be used in conjunction with other offers unless expressly stated.
12.2 You may have rights under the consumer protection laws of the state in which you reside which cannot be excluded, and those rights are not affected by these Pro Pass Terms.
12.3 In the event of any inconsistency between Airtasker’s Website Terms and these Pro Pass Terms, these Pro Pass Terms will prevail in relation to the Airtasker Pro Pass.
13. Governing Law
13.1 These Pro Pass Terms are governed by the laws of the State of New York, without giving effect to any conflict of laws principles. Subject to clause 11, by purchasing an Airtasker Pro Pass, you and Airtasker submit to the exclusive jurisdiction of the state and federal courts located in New York, New York.
